Don't know about MySQL bt in SQL Serevr is something like that:
IF NOT EXISTS(SELECT * FROM TableName WHERE Code = @ac)
   INSERT INTO TableName (Code, Title) VALUES (@ac, @tl)
ELSE
   UPDATE TableName SET @Title = @tl WHERE Code = @ac
